/ Terms of Usage

The rules of the road.

These terms set out the contract between you (the user) and Paarth Jha (the individual operator of Refractly). Read them once; they are short and unambiguous on purpose.

/ 01 · Acceptance

By using the service, you accept these.

By creating an account or otherwise using Refractly, you confirm that you have read these Terms of Usage and the Privacy Policy and agree to be bound by both. If you do not agree, do not use the service. You must be at least eighteen years old to sign up. If you are using Refractly on behalf of an organisation, you confirm you have authority to bind that organisation.

/ 02 · The service

What Refractly provides.

Refractly is a content-generation studio that adapts your inputs into platform-native drafts for LinkedIn, X, Instagram, Threads, Facebook, and Newsletter. It is not affiliated with, endorsed by, or operated in partnership with any of those platforms. It does not auto-post on your behalf — you remain in control of what you publish, where, and when.

/ 03 · Your account

You are responsible for what happens under it.

You agree to provide accurate, current information and to keep your credentials confidential. One account per person. You are responsible for all activity carried out under your account, including content generated, sub-processor calls billed, and interactions with the moderation system. If you believe your account has been compromised, email info@refractly.app immediately.

/ 04 · Subscriptions & billing

Plans, prices, and how it's billed.

Refractly is offered in three tiers — Free, Creator, and Pro — with limits and current prices listed in-app on the Settings page. Paid plans renew automatically each month until cancelled. Billing is handled by Dodo Payments; the contract for payment processing is between you and Dodo, governed by Dodo's own terms.

You can change or cancel your plan at any time from the in-app Settings page (free-to-paid upgrades) or via the Dodo customer portal (changes between paid plans, or paid-to-free downgrades). Cancellation takes effect at the end of the current billing period; you keep paid features until then.

/ 05 · Refunds

The refund posture.

By default, we do not offer refunds for partial billing periods or unused generation quota. Statutory rights are preserved: users in the European Union retain the right of withdrawal where it applies, and Indian users retain their rights under the Consumer Protection Act, 2019. If you believe a charge was made in error, write to info@refractly.app and we will look at it individually.

/ 06 · Acceptable use

What you may not do with the service.

Refractly exists to help people write more, more clearly. It is not a vehicle for harm. You agree not to use it to:

  • generate content that is illegal in your jurisdiction or in India;
  • produce hateful, harassing, violent, sexually explicit, or demonstrably defamatory material;
  • impersonate any real person, brand, or public figure;
  • draft spam, scams, phishing, or other forms of mass-deceptive communication;
  • infringe the intellectual property of any third party;
  • circumvent, probe, or attempt to disable the content-moderation system, rate limits, or any other protective measure;
  • reverse-engineer, scrape, or attempt to reconstruct any part of the service or its underlying models.

Violations are tracked as strikes against your account. The escalation ladder is fixed:

  • Strikes 1–2 — warning.
  • Strike 3 — seven-day account suspension.
  • Strikes 4–5 — further warning.
  • Strike 6 — permanent ban.

We do not reset strike counts unilaterally. If you believe a strike was applied in error you may appeal to info@refractly.app.

/ 07 · Content ownership

Your inputs and outputs are yours.

You retain all rights, title, and interest in the prompts and voice samples you submit (your Inputs) and in the generated drafts you receive (your Outputs). Refractly does not claim ownership over either.

You grant us a limited, worldwide, royalty-free, sub-licensable licence to process, transmit, store, and display your Inputs and Outputs solely to operate the service for you — for example, to send your prompt to the LLM gateway, store your drafts in your history, and render them back to you. This licence ends when you delete the corresponding data or your account.

We will never train any AI model on your Inputs or Outputs, share them with third parties for marketing, or use them outside the operation of the service. The full breakdown of sub-processors is in the Privacy Policy.

/ 08 · AI output disclaimer

The model can be wrong.

Refractly's outputs are generated by large language models and may be inaccurate, biased, outdated, or entirely fabricated, even when grounded in live web search results. The model has no understanding of truth; it has patterns. You are responsible for reviewing, fact-checking, and editing every output before publishing it anywhere or sending it to anyone.

We do not warrant that outputs are fit for any particular purpose, free of error, or compliant with the laws or platform rules that apply to where you eventually publish them.

/ 09 · Third-party platforms

LinkedIn, X, Meta, Substack — not us.

When you copy a Refractly draft and post it elsewhere, that publication is governed by the target platform's own terms, community guidelines, and applicable law. We have no control over and accept no responsibility for how those platforms handle your content, what they may remove, or what consequences they may impose. Refractly does not interface with their APIs and does not schedule, queue, or publish posts on your behalf.

/ 10 · Availability

Best-effort, not guaranteed.

We aim for a reliable service but make no specific uptime promises. Features may be added, changed, suspended, or withdrawn. Where a change materially reduces functionality on a paid plan, we will give reasonable notice by email. Scheduled maintenance, third-party outages (Supabase, OpenRouter, Google, Dodo, Vercel, Render), and force-majeure events may interrupt the service from time to time.

/ 11 · Termination

How either side walks away.

You may delete your account at any time from Settings → Danger zone inside the studio app. Doing so cancels any paid subscription at the end of the current billing period and removes your linked data within the retention windows described in the Privacy Policy. You can also cancel your paid subscription on its own (without closing your account) via the Dodo customer portal, reachable from in-app Settings. As a backup channel, you can always email info@refractly.app. If the automated account-deletion flow cannot confirm subscription cancellation or database deletion, it will stop and show an error instead of claiming the account was deleted.

We may suspend or terminate your account, without refund, if you materially breach these Terms, reach the strike-6 threshold, use the service in a way that places it or its other users at risk, or fail to pay an outstanding invoice. Where the breach is curable we will normally tell you first and give you a chance to cure it.

/ 12 · Warranties & liability

The service is provided as is.

To the maximum extent permitted by applicable law, Refractly is provided "as is" and "as available", without warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the service will be uninterrupted or error-free.

To the maximum extent permitted by applicable law, in no event shall Paarth Jha be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, loss of data, loss of goodwill, or reputational damage — arising out of or in connection with your use of the service, even if advised of the possibility of such damages.

The aggregate liability of Paarth Jha to you for any and all claims arising out of or relating to the service shall not exceed the greater of (a) the amount you actually paid Refractly in the twelve months immediately preceding the event giving rise to the claim, or (b) US$50.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud, gross negligence, or wilful misconduct.

/ 13 · Indemnification

You back your own use.

You agree to defend, indemnify, and hold harmless Paarth Jha against any third-party claims, losses, damages, and reasonable legal costs arising out of (a) your misuse of the service, (b) your violation of these Terms or any applicable law, or (c) any content you generated, edited, or published using the service.

/ 14 · Governing law

Indian law, New Delhi courts.

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to any mandatory consumer-protection rule that applies in your country of residence, the courts at New Delhi, India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service.

/ 15 · Changes

When these terms move.

We may update these Terms from time to time. Material changes will be announced by email to active users at least thirty days before they take effect, and the effective date at the top of this page will be updated. Continued use of the service after that date constitutes acceptance of the revised Terms.

/ 16 · Miscellaneous

Final housekeeping.

These Terms together with the Privacy Policy form the entire agreement between you and Paarth Jha concerning the service. If any provision is held unenforceable, the rest remain in force. Our failure to enforce a right is not a waiver of that right. You may not assign these Terms; we may assign them to a successor entity if the service is sold or restructured, on the same terms.
